Anthropic’s S-1 describes planned Class F voting power of 50.1% for a Founder LLC initially comprising seven co-founders
The hosts discussed the voting structure described in Anthropic’s S-1. Before completion of the offering, the company plans to issue one share of special Class F stock to Founder LLC, whose initial members will be the seven co-founders. As described on air, Class F stock will carry an aggregate 50.1% of the voting power on matters submitted generally to stockholders, including director elections other than elections of Class T directors. This is a planned structure described in the filing, not an announcement that the offering has been completed.
Participants jokingly called the arrangement a “golden ticket,” while clarifying that Anthropic itself does not call it a “golden share.”
The hosts suggested that the structure could preserve the founders’ control even if their economic ownership declines. In their view, internal disagreements within the LLC might not be visible externally: a single vote could be presented publicly even if the members were split internally, for example, 4–3. They stressed that the LLC’s actual arrangements are unknown; the S-1 excerpt discussed establishes only that the seven co-founders will initially be its sole members.
Participants also raised unresolved succession questions, including what might happen if a co-founder dies, ownership is inherited, or the number of members changes. They noted that shares with substantial voting power could have significant economic value despite Class F having no economic rights. Billion-dollar valuations and borrowing against the shares were discussed as hypotheticals, not established facts.
